Definitions
- Agreement – a set of contracts, commercial offers, terms of service, and any accompanying documentation that regulates the cooperation between the parties.
- Client Content – all materials that the customer transfers for use within the project, including text information, graphics, photos, or logos.
- Deliverables – work or products that we are obliged to provide to the client following the concluded agreement.
- Designer Tools – developments owned by our company, including software, scripts, fonts, code, templates, visual or functional elements of the site, regardless of whether they are subject to patenting or copyright protection.
- Final Deliverables – the final version of the provided works, which is transferred to the client after the project is completed.
- Project – a specific task or set of works that are implemented within the framework of agreements between the client and our company.
- Services – all types of work and solutions provided to the client under the terms of a signed agreement or commercial offer.
- Third-party Materials – any visual, textual, or multimedia content used in the project and originating from external sources, including stock images, illustrations, videos, fonts, etc.
Development Services
Our team provides development services following the approved proposal, the concluded agreement, and the agreed project implementation stages.
Proposal / Scope of Work
Our proposals remain valid for 30 calendar days from the moment of their receipt by the client. If the customer does not confirm the proposal within the established period, we reserve the right to make changes and provide an updated version for re-approval.
Compensation
- Additional costs – costs associated with third-party services and are paid separately from the cost of our development services.
- Expenses – all costs are transferred to the client without additional mark-ups.
- Commissions and taxes – the client is obliged to pay all commissions and taxes following the agreed financial plan attached to the project.
Payment
- Invoices. All invoices must be paid within 5 days of receipt. Additional costs and third-party costs are indicated separately.
- Payment Schedule. All payment stages will be recorded in the project plan, with a clear distribution of amounts according to the implementation stages.
Changes to Project Scope
- Change Requests. Any changes required must be submitted in writing by the client and sent to us for review. We will provide a detailed response within 5 business days to indicate additional costs, adjustments to the project plan, and timelines.
- Minor Changes. Changes that are less than 20% of the total project cost or that we consider to be minor will be billed at standard hourly rates. The client must notify us of any adjustments to the agreed work schedule. However, additional costs are not subject to the previously agreed budget or final project price.
- Major Changes. If changes exceed 20% of the project cost or have a significant impact on the scope of work, we will prepare a new or additional quotation to cover these works. Additional works will only commence once the relevant quotation has been agreed and signed.
- Acceptance of Proposals. The client is obliged to accept or reject the offer within 14 working days from the moment of its receipt. If the decision is not made within this period, the company is not responsible for the performance of additional work.
Delays
- Delays on the Part of the Client. The client undertakes to provide all necessary approvals, information requests, materials, and other requirements necessary for the implementation of the project on time. In case of any delays on your part, the deadlines for the implementation of the following stages will be postponed proportionally.
- Delays by Us. If delays arise on our part due to internal reasons, we will immediately notify the client by email with a detailed explanation.
- Delays by Others. Delays caused by circumstances that depend neither on the client nor on us are not considered a violation of the terms of the contract and cause a corresponding extension of the project implementation deadlines. Such circumstances include, but are not limited to, labor disputes, government acts, fires, floods, natural disasters, terrorist acts, war, and other force majeure situations.
Evaluation and Acceptance
- Testing. We use industry-standard, commercially viable testing methodologies to review all results before they are released to the client.
- Approval Timelines. After receiving the results, the client has 7 business days to accept or reject them. In the event of a rejection, this must be in writing with a detailed description of the deficiencies identified. We then have up to 14 business days to correct the issues. After making changes, the client has another 7 business days to review the corrected result.
Client Responsibilities
The client is obliged to act responsibly and on time, in particular in the following matters:
- Provide content that is compatible with further use in the project without the need for additional changes or improvements on our part, unless otherwise agreed separately.
- Responsibly check and correct the materials provided. If corrections are necessary due to inconsistencies in the content, we reserve the right to charge an appropriate fee.
- Make timely decisions on the involvement of third parties, if this is provided for in the project terms.
Accreditation and Promotion
- Accreditation. We have the right to place hyperlinks indicating our authorship or participation on all pages of the created materials, unless otherwise agreed in the initial agreement.
- Promotion. For advertising, confirmation of professional skills or brand development, our company may publish completed works in portfolios, galleries, on websites, and in any other media.
- Approval of publications. Neither party has the right to unreasonably refuse permission to post information about its participation in the project. In this case, a link to the other party’s web resource is mandatory.
Confidential Information
Any information that one party considers confidential, whether copyrighted, patent protected, or otherwise protected, shall remain confidential. Each party agrees not to disclose such information to any third party without the written consent of the other party.
Information is not considered confidential if:
- It was already known to the other party before its disclosure;
- It became available from a third party who did not impose any restrictions on its use;
- It is publicly available other than as a result of a violation of this Policy.
Relationships
- Agents. If we engage third-party contractors to provide agreed services, we are fully responsible for their work and results. The client interacts exclusively with us as the main contractor.
- Exclusivity. We do not work based on exclusivity and do not expect this from the client. Both parties have the right to cooperate with other companies or contractors without any restrictions.
- Independent contractor. Our company acts as an independent contractor and independently determines how to perform the assigned tasks. The conclusion of this agreement does not create an employer-employee relationship, partnership, or joint venture. Neither party is obliged to act on behalf of the other. All rights and obligations arise solely based on the agreement. The works performed by us are not considered “works for hire” within the meaning of copyright law.
Liability
Our company is not liable for any indirect, incidental, or consequential damages that the client may incur as a result of using the services provided. All our services are provided on an as-is basis. The maximum limit of liability that we assume does not exceed the amount paid by the client for the relevant services.
Rights for Work Produced
License Terms. The Client is granted a non-exclusive, perpetual, and worldwide license to use the results created in the form agreed upon within the project. The Client may not make any changes, use individual elements, or create derivative works based on the results without our prior written permission.
Support Services
We provide reasonable and commercially reasonable support necessary to maintain, correct, or update the results provided. Such services are billed separately at our standard hourly rates.
Any warranty is void if the results have been modified by third parties or if the work has been tampered with without our involvement. In such cases, we are not liable for the consequences of such modifications.
We reserve the right to change these terms at any time without prior notice. Your continued use of our site or services after any changes are made constitutes your automatic acceptance of the updated terms.
